An escrow is basically used whenever two parties have an agreement or transaction wherein a third party is needed to temporarily keep the payment or asset until the transaction or agreement comes into effect. There are several kinds of escrow businesses and one type of escrow business is that which has a focus on software escrow which can be a corporation that can hold the escrow or individual persons that can hold on to the escrow. It normally doesn’t matter what kind of incorporation is involved as the entity that takes care of the escrow will try to minimize it’s responsibilities as much as possible.

Basics for a Legal Escrow Agreement

The entity that is chosen (corporate or individual) to handle the software escrow will normally prepare an initial draft of the software escrow agreement which will be signed later on by both parties involved. Depending on the number of people involved with the software vendor, escrow agreements can vary between a one-to-one transaction, or a multi-customer-single-vendor or single-customer-multiple-vendors type of transaction. For a large customer, this user can have multiple software escrow agreements with plenty of vendors.

These kinds of contracts will give the foundation for a basic legal framework around which the interests of both the software vendor and the user are fairly and justly considered, particularly in the usability of the asset that will be put in escrow.

Storage for the assets that will be put in escrow must be offered by the escrow business and it has to be secure and safe. In cases like this, think of the storage area as something similar to a bank vault or a safe deposit box.

The parties involved, including the escrow business can now also be offered an inspection of the assets that will be put in escrow. The communication between all parties involved in the escrow agreement should be continuous and open. Any changes or additions in the assets that are in escrow or any movements in the contract has to be communicated in an open way.

Escrow fees are also part of the standard software escrow agreement, such as annual software escrow fees but you have to also have some lee way for some additional fees or disagreements that may trigger an arbitration process to fix the escrow agreement.

There are many types of escrow services. One of them is source code escrow. This is important to licensees or people that license the software from a software provider so that they can ensure that the software is maintained even if the licensor or software provider goes under, goes bankrupt or does not fulfill it’s obligation to maintain the software as agreed upon when they completed their software license agreement.

The maintenance of their software is incredibly important to a lot of organizations, especially large companies that need to ensure the reliability of the IT solutions for business continuity. The best way to ensure that their software is maintained is by holding the source-code in escrow. However, most software providers will normally refuse to allow other companies access to their source-code. This is understandable but to resolve this conflict of interest between the licensor and licensee, both parties will normally agree to hold the source code in escrow to make sure that in the event of the failure of the licensor to provide maintenance and support for the software, the licensee can then take the source code and give it an opportunity to keep it’s own software up to date.

Dealing with the legalities of life can sometimes be annoying but really, there is no avoiding the law. It’s exhausting to deal with conflict resolution and building trust. Like I said earlier in the week, this week is going to be hell. The business of software escrow services are good but they are exhausting. I know I’ve been in the software escrow business for the while but there are some days when it’s just very tiring. There are just so many issues when it comes to software protection. Lots of questions that have to be answered by both parties trying to interact and come up with a fair deal. During the course of a negotiation the source code escrow agreement can sometimes look very good and people are quick to make a deal but then some days they come in and they reject everything outright and feel very insecure about all the agreements being made. I believe it’s all about trust when it comes to these escrow agreements. People will have to give some measure of trust to the party they are dealing with in order to come to a very fair conclusion. However, some days, they are just really very difficult to deal with and nothing really gets done and that is where the problems start to kick in. Anyway, as we cross into mid-September and into the last quarter of the year, we can expect people to start putting in budgets for new software acquisitions and try to find ways to protect their software. This is where we will come in once again to define agreements and negotiate with personalities. Hopefully we can end the business year on a good note.

A Software Ecrow Monday

Don’t we all just hate Mondays?
On Mondays, it seems, it’s all the more harder to get up in the morning. The feet are heavier, the eyes are more tired. The coffee tastes awful. We have a few escrow agreements lined up and there are a several escrow accounts to set up. Business is pretty good but I don’t know what we should be doing towards the end of the year. I like the last quarter storm. We try to chase down all the contracts and make sure that our software escrow services are top notch. The people around me also know what’s up and they make sure that they have their game faces on. It helps that the sports season has started and it really pumps us all up. We’re ready to do business, make the sale, help our customers, put all the important contracts in place and all the agreements ironclad. By the time we’re done maybe this may be our best year ever. What’s in store for us? We don’t know but the high-tech community is really kicking up a storm and business is really good. The economy always looks bleak but optimism never dies. Here’s to living!

This morning is not a good morning for me. It’s been a busy week and thank goodness that I’ve decided to take a long weekend tomorrow to get a break, even if it’s only for three days. The escrow business is not an easy one to tackle but the going can get really good once things start to pick up. It’s been picking up this year. Last year was not a good year. More closures on both sides of the fence. When one party goes away, the entire thing goes AWOL. Software escrow becomes a little irrelevant when there is no one that needs for it to be in escrow in the first place. The customer goes away, the vendor loses money and the software escrow service provider loses money. The entire system loses money and business becomes bad for everybody.

Escrow Business

Well this week, it’s been the same. Two customers went away and a vendor decided to close shop. Of course, the escrow agreements kick in and the business is going about the steps it was designed to take care of when things like this happen but at the same time, that’s money down the drain in the future. There are jobs lost. It’s just sad. We would like to keep everything in escrow indefinitely. It would mean everything is going well and people are just being safe. When things start to kick in, it means that something bad is happening. That’s what is happening with our economy now. It’s just not that good. I look forward to Friday.

The business of software escrow services is a little tough these days. There are more players but at the same time there are also more busiensses looking for escrow services. In this volatile economy you don’t really know which business are capable of lasting and which ones are going to fall off the map sooner or later. The economy is that volatile and the market is that competitive. So while we are currently trying to take care of our current businesses we are still looking for new customers that will help us grow our business. There is money to be made out there and the last one standing will be the winner, obviously. With so many types of escrow services, what is it that we can do to improve services? We will give more open communication lines with our parties, the customers and the software vendors, we will try to move faster with dealing with issues and handling contracts. By keeping customers happy, we can stay competitive. They will stay loyal. And we try to cut costs as much as possible without sacrificing quality and the happiness of our own employees who are responsible for keeping the company afloat. Software escrow services is not an easy thing to deal with and people are always looking out for themselves.
The software vendor will always be trying to keep it’s technology secret because it’s intellectual property is the lfieblood of it’s business while the customer just wants security and to make sure that whatever happens to it’s vendor, it’s business will not sink when the software vendor sinks, hence then need for software escrow. Everyone has to understand what each party is trying to look out for so they both understand the need for this kind of escrow service. By working together to hash out their differences, contracts and disputes can be settled much faster and business will go on much smoother.
